Terms of Service

These Terms of Service ("Terms") govern a merchant's use of Obnold Location Stock (the "App"), provided by Obnold Pte Ltd ("Obnold", "we", "us", or "our"). By installing or using the App, the merchant agrees to these Terms.

Use of the App

Obnold Location Stock is a merchant-admin application that helps merchants view Shopify locations and inventory by location. A merchant must have a valid Shopify shop and be authorized to install and use the App for that shop. The merchant is responsible for the actions of its users and for keeping its Shopify account credentials secure.

Shopify integration

The App uses Shopify APIs to retrieve location and inventory information and to provide its features. Shopify remains the source of truth for inventory quantities. When a merchant confirms an inventory adjustment in the App, the App sends that adjustment to Shopify. The merchant is responsible for reviewing its entries before confirming an adjustment and for its use of Shopify. The merchant's agreement with Shopify also governs its use of Shopify's services.

Subscriptions and payment

Some App features may require an active subscription. Available plans, pricing, trials, plan changes, approvals, and payment are presented and handled through Shopify's app-pricing services. Obnold does not directly process a merchant's payment. Subscription status and access are subject to the applicable plan selected through Shopify.

Acceptable use

A merchant must not use the App to:

• violate applicable law or the merchant's obligations to Shopify;
• interfere with, disrupt, or attempt to gain unauthorized access to the App, Shopify, or another merchant's information;
• use the App for a shop the merchant is not authorized to administer;
• reverse engineer, copy, modify, or create derivative works of the App except where applicable law does not permit that restriction.

Intellectual property

Obnold and its licensors retain all rights, title, and interest in the App and its related intellectual property. Subject to these Terms, we grant the merchant a limited, non-exclusive, non-transferable, revocable right to use the App for the merchant's internal business purposes. These Terms do not transfer ownership of the App or a merchant's Shopify data.

Service availability

We may maintain, update, suspend, or discontinue the App or part of it from time to time. The App depends on Shopify and other systems outside our control, so we do not guarantee that it will be uninterrupted, timely, secure, or error-free. Merchants should maintain their own appropriate records and review inventory changes in Shopify.

Disclaimers and limitation of liability

To the maximum extent permitted by law, the App is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Obnold will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or business opportunities arising from or related to the App. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Termination

A merchant may stop using the App at any time by uninstalling it from Shopify. We may suspend or end access to the App if the merchant materially breaches these Terms, if required by law, or if we end the App. On termination, the right to use the App ends. Data deletion is handled as described in our Privacy Policy.

Governing law and jurisdiction

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles. The courts of Singapore have exclusive jurisdiction over disputes arising out of or relating to these Terms or the App, except where applicable law requires otherwise.

Changes to these Terms

We may update these Terms by posting an updated version on this page and revising the "Last updated" date. Continued use of the App after an update takes effect constitutes acceptance of the updated Terms.
